TS Code of Conduct

TS Tech’s Code of Conduct, created in 2004 to show our corporate attitude, was revised in 2025 to respond to the changing times. 
Our Code of Conduct consists of two parts. One part defines TS Tech’s norms and ideals as an organization. 
The other part dictates expectations for day-to-day conduct for individual executives, officers, and employees while serving as a guideline for making the right decision.
We will act sincerely and appropriately in accordance with the Code of Conduct , aiming to create a new corporate culture to be passed on to the next generation and further evolve.

1. Providing Safe, Comfortable, and High-Quality Products and Services

Organization-Level Directive

To be “a company sincerely appreciated by all” and whose presence is valued by all stakeholders, TS Tech will constantly strive to create new value that goes beyond the here and now so as to offer attractive, high-quality products and services that are safe, comfortable, and environmentally-friendly to its customers around the world.

Individual-Level Directive

  • Always strive to leverage and improve your own capabilities and know-how and never give up on the challenge of creating new value.
  • Take all safety and quality control measures possible by following all established standards and procedures and work to prevent accidents and problems before they happen so that TS Tech can safely provide high-quality products and services.
  • If a product- or service-related accident or problem should occur, take prompt and appropriate action with safety as the number one priority. Make the utmost effort to prevent the problem from getting larger or happening again.

2. Human Rights and Work Environment

Organization-Level Directive

TS Tech upholds the human rights of all individuals involved in our business operations, adhering to laws, regulations and labor practices.  TS Tech respects human rights, does not practice discrimination, strives for equal opportunities in employment, and does not accept any form of child labor or forced labor. In addition, we strive to create a friendly and welcoming workplace where everyone can find fulfillment in their work. 

Individual-Level Directive

  • Respect the human rights and privacy of individuals  and wide-ranging aspects of diversity including race, ethnicity, place of origin, nationality, religion, creed, occupation, gender, gender identify and sexual orientation, age, and disability. Do not practice any form of unjust discrimination. 
  • Respect your coworkers and treat them fairly and honestly when you interact. Never engage in any sort of harassment in the workplace.
  • Follow all labor laws and regulations and company rules and policies. Be dedicated to maintaining a healthy work environment and always strive to make it better. Work to make your workplace one where everyone can work together with enthusiasm and peace of mind.

3. Protection of the Environment

Organization-Level Directive

As a responsible member of society, TS Tech does its part to contribute to the achievement of a sustainable society. To that end, we follow environmental laws and regulations and work to make continuous improvements to our environmental protection activities and proper environmental management. In addition, we work with the entire supply chain to reduce the environmental impact throughout the life cycle of all our products.

Individual-Level Directive

  • Understand the importance of protecting the global environment. Actively participate in company and community activities to protect the environment.
  • Work on reducing greenhouse gas emissions as  stipulated by environmental regulations in order to achieve carbon neutrality.
  • Be proactive in saving energy and sustainable resource management (i.e., reduce, reuse, and recycle) in order to lower  our environmental impact.
  • Know the impact that your work has on the environment and take steps to make continuous improvements to work processes so as to reduce our burden on the environment.
  • Understand the importance of protecting the global  environment and strive to coexist in harmony with nature, taking biodiversity into consideration.

4. Relationship with Society

Organization-Level Directive

While fulfilling the expectations placed upon it by society, TS Tech endeavors to be a good corporate citizen that maintains good relationships with and contributes to local communities and global society in everything we do.

Individual-Level Directive

  • Do what you can to actively service your local community.
  • Do what you can to be an active participant or supporter of volunteer activities such as programs for people with disabilities or disaster relief.
  • As a person working in the automobile industry, you should act as a role model on the road. Always follow the rules of the road, be a courteous and safe driver, and do your best to prevent accidents.

5. Compliance

Organization-Level Directive

High ethical standards and commitment to legal compliance are the foundations of sustainability for TS Tech. In addition to cultivating these standards and this commitment, TS Tech works in good faith to follow all relevant laws, regulations, and societal norms and rules throughout our operations worldwide.

Individual-Level Directive

  • Follow all applicable laws, regulations, and company policies and rules. Behave ethically and observe common sense and social decency.
  • Maintain a good understanding of relevant laws, regulations, and company policies and rules. Take appropriate measures whenever amendments or revisions are made.
  • Protect persons who report ethical concerns to the Ethics Hotline and those who cooperate in ethics investigations, and do not treat them in any detrimental manner on the grounds of their reporting or cooperation.
  • Will not be involved in illegal activities such as profit sharing with illegal forces or money  laundering.

6. Protection of Company Assets & Information

Organization-Level Directive

TS Tech possesses and manages tangible and intangible company assets that are valuable resources for the company’s operations. TS Tech actively uses those assets and does not tolerate any acts that would benefit individuals or third parties in conflict with the interests of TS Tech.

Individual-Level Directive

  • Manage TS Tech’s products, machinery, equipment, information, intellectual property, and other company assets properly in accordance with the company policies and rules. Do not use them for any other purposes than TS Tech's business operations.
  • Always be aware of the fact that the company’s confidential information is a valuable asset. Maintain strict control over such information to protect its confidentiality. Never use such information for inappropriate purposes such as insider trading.
  • Ensure thorough compliance with laws and regulations  concerning the protection of personal information,  and appropriately handle any personal information in  accordance with company rules and policies.
  • Do not engage in any act which gives rise to a conflict of interest that you perform for your own interests or for the interests of your relatives, friends, or acquaintances against TS Tech's interests, such as engaging in or  taking part in competition with TS Tech's business or  working for a competitor of TS Tech.
  • Do not try to obtain information (e.g. intellectual property, company secrets, and know-how) that belongs to a third party through illicit means. Do not use such information without permission.

7. Fair and Clean Business Practices

Organization-Level Directive

As an honest and fair-minded company, TS Tech respects free and fair competition and engages in fair and clean business practices founded upon a relationship of mutual trust with our customers and suppliers. TS Tech maintains propriety in its relationships with politicians and governments and will never engage in any relationship with criminal groups or individuals.

Individual-Level Directive

  • Select suppliers based on a fair evaluation of their legal compliance and other business conditions such as safety, quality, environmental impact, pricing, and delivery lead time.
  • Follow competition laws and regulations (e.g. anti-trust laws) in commercial interactions. Clearly communicate business terms to suppliers and develop business relationships that mutually benefit both parties.
  • Pay attention to our suppliers’ legal compliance and attitude toward human rights and the environment. Work with suppliers to ensure that the supply chain does not undermine our commitment to being socially responsible.
  • Do not accept any personal benefits from suppliers. In addition, do not offer gifts or entertainment to customers or suppliers for the purpose of gaining an improper benefit.
  • Do not provide politicians or public officials with any  benefits as prohibited by laws, regulations, or company rules or policies (e.g., bribery), including the provision of  money, goods, or entertainment.
  • Be mindful of any business with countries, regions, organizations, and individuals subject to international economic sanctions or trade sanctions.

8. Proper Disclosure of Information

Organization-Level Directive

TS Tech is committed to acting fairly, acting with integrity, and fair disclosure to its customers, suppliers, shareholders, local communities, and other stakeholders. Stemming from that commitment, we are devoted to operating with a high degree of transparency and the proper disclosure of information in a timely manner. In addition, we will use a process of constructive dialogue as a way to solve problems and a means to incorporate the expectations and requests of our stakeholders into our operations so as to improve the value our company offers.

Individual-Level Directive

  • Record, store, and manage information properly. When disclosing information to an external party, make sure the disclosure is appropriate, timely, and in compliance with laws, regulations, and company policies and rules.
  • Strive to facilitate an accurate understanding of TS Tech. You should observe the company’s stance of proactively disclosing information that may affect shareholders’ or investors’ decision-making, even when not required to do so by law.
  • Treat opinions from other TS Tech stakeholders seriously and endeavor to make improvements as appropriate.
